1. Acceptance of Terms
By accessing and using AI Foundry's website and services, you accept and agree to be bound by the terms and provision of this agreement. If you do not agree to abide by the above, please do not use this service.
2. Services Description
AI Foundry provides artificial intelligence consulting, development, and implementation services including:
- AI strategy consulting and planning
- Custom AI application development
- AI workflow automation solutions
- AI agent development and deployment
- AI infrastructure setup and optimization
- Training and ongoing support
3. Client Responsibilities
As a client, you agree to:
- Provide accurate and complete information necessary for service delivery
- Cooperate with our team and respond to requests in a timely manner
- Maintain confidentiality of any proprietary information shared
- Pay fees according to agreed terms and schedules
- Use our services in compliance with applicable laws and regulations
4. Payment Terms
Payment terms will be specified in individual service agreements. Generally:
- Consulting services: Billed hourly or per project as agreed
- Development projects: Milestone-based payments or monthly retainers
- Late payments may incur additional fees and service suspension
- All fees are in NZD unless otherwise specified
5. Intellectual Property
Intellectual property rights will be clearly defined in individual service agreements:
- Custom developed solutions: Ownership typically transfers to client upon full payment
- Pre-existing IP: Remains the property of AI Foundry
- Third-party tools and platforms: Subject to their respective license terms
- Client data and content: Remains the property of the client
6. Confidentiality
We maintain strict confidentiality regarding all client information, business processes, and proprietary data. Both parties agree to sign non-disclosure agreements when handling sensitive information.
7. Limitation of Liability
AI Foundry's liability is limited to the amount paid for services in the 12 months prior to any claim. We are not liable for:
- Indirect, incidental, or consequential damages
- Loss of profits, data, or business opportunities
- Third-party service failures or downtime
- Changes in AI technology or platform availability
8. Service Level Agreement
We strive to provide high-quality services with the following commitments:
- Response to initial inquiries within 24 hours
- Regular project updates and communication
- Testing and quality assurance for all deliverables
- Documentation and training for implemented solutions
9. Termination
Either party may terminate services with written notice:
- 30 days notice for ongoing consulting relationships
- Immediate termination for breach of contract or non-payment
- Completed work will be delivered and invoiced upon termination
- Confidentiality obligations continue after termination
10. Governing Law
These terms are governed by New Zealand law. Any disputes will be resolved through arbitration in Auckland, New Zealand, following New Zealand Commercial Arbitration Rules.
11. Changes to Terms
We reserve the right to modify these terms at any time. Significant changes will be communicated to existing clients with 30 days notice. Continued use of our services constitutes acceptance of updated terms.
